These Terms of Use (the “Agreement”) govern your access to and use of the English-language version of the website available at www.Barreleye.co.kr, together with any related websites operated by Barreleye Inc. or its subsidiaries (collectively, the “Site”). Barreleye Inc. and its subsidiaries are referred to collectively in this Agreement as “Barreleye,” “we,” “us,” or “our.”
This Agreement constitutes a legally binding agreement between you and Barreleye. Please review these terms carefully before accessing or using the Site. By selecting “I accept,” accessing the Site, or otherwise using the Site, you: (i) confirm that you have read and understood this Agreement; (ii) consent to and agree to comply with its terms; and (iii) represent and warrant that you have the legal authority and capacity to enter into and accept this Agreement.
Certain portions, functions, features, or services available through the Site may be governed by additional terms and conditions that Barreleye may provide from time to time. By accessing or using any such portion, function, feature, or service, you also agree to the applicable additional terms and conditions. Those additional terms and conditions are incorporated into and form part of this Agreement by reference.
IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU MUST NOT ACCESS OR USE THE SITE.
The Site
The Site, including its content, functionality, and features, and all materials made available through it—including, without limitation, information, software, text, graphics, images, photographs, video, audio, and the selection, organization, presentation, and design of such materials—is owned by Barreleye, its licensors, or other applicable content providers.
The Site and its contents are protected under applicable laws of the Republic of Korea, the United States, and other jurisdictions, as well as applicable international laws and treaties concerning copyrights, trademarks, service marks, patents, trade secrets, and other intellectual property and proprietary rights.
Except as expressly authorized by Barreleye in writing, you may not commercially exploit the Site or make the Site available to any third party. You may not copy, reproduce, distribute, modify, adapt, create derivative works from, publicly display or perform, republish, download, store, transmit, or otherwise use any material available through the Site except as expressly permitted under this Agreement or applicable law.
Your access to or use of the Site does not grant or transfer to you any ownership right, title, or interest in the Site or any of its contents. Barreleye and its applicable licensors retain all rights that are not expressly granted to you under this Agreement.
Trademarks
The name “Barreleye,” together with Barreleye’s associated names, logos, product and service names, designs, slogans, and other brand identifiers, are trademarks, service marks, or other proprietary marks owned by or licensed to Barreleye or its affiliates.
You may not use, reproduce, display, refer to, or otherwise make use of any Barreleye trademark or other proprietary mark in a manner suggesting authorization, sponsorship, endorsement, or affiliation without Barreleye’s prior written consent, except as otherwise permitted by applicable law.
Any third-party names, logos, product or service names, designs, trademarks, service marks, or slogans appearing on the Site remain the property of their respective owners.
Acceptable Use of the Site
You may access and use the Site only for legitimate and lawful purposes and in compliance with this Agreement. In connection with your use of the Site, you agree that you will not:
- Access or use the Site in a manner that violates any applicable federal, state, provincial, local, foreign, or international law, rule, or regulation.
- Use the Site to send, facilitate, or arrange for the transmission of unsolicited advertisements, promotional communications, “junk mail,” “chain letters,” “spam,” or other similar solicitations.
- Access or use the Site in a way that may damage, disable, overload, impair, or otherwise interfere with the operation or availability of the Site or another person’s ability to access or use the Site.
- Use robots, spiders, crawlers, scrapers, or other automated tools, technologies, processes, or methods to access, monitor, copy, extract, or collect materials or information from the Site for commercial purposes without Barreleye’s prior authorization.
- Introduce or use any device, software, code, process, or routine that disrupts or interferes with the proper functioning or security of the Site.
- Attempt to obtain unauthorized access to, circumvent the security of, interfere with, damage, or disrupt the Site, any portion of the Site, or any systems, servers, or networks associated with the Site.
Usage Data
In connection with your use of the Site, we may collect or generate aggregated or de-identified content, information, or data that does not identify, and cannot reasonably be used to identify, you or any other individual (“Usage Data”).
To the extent permitted by applicable law, all rights and interests in Usage Data will belong to Barreleye. Barreleye may use, analyze, disclose, and otherwise process Usage Data for any lawful purpose, provided that such activities are consistent with our Privacy Policy and applicable law.
User Content and User Engagement Services
From time to time, Barreleye may provide message boards, discussion forums, bulletin boards, or other interactive or user-participation features (collectively, “User Engagement Services”). Such services may be offered directly through the Site or through a third-party website or service and may permit users to post, upload, submit, publish, display, share, or otherwise transmit content, data, information, communications, or other materials (collectively, “Content”).
Any Content submitted through User Engagement Services must comply with the content requirements, rules, and guidelines that Barreleye makes applicable to those services from time to time (collectively, the “Content Standards”).
By submitting or otherwise making Content available through the Site or any User Engagement Service, you grant Barreleye an irrevocable, perpetual, worldwide, royalty-free license to use, reproduce, modify, adapt, perform, display, distribute, disclose, and otherwise utilize such Content solely as reasonably necessary to: (i) operate, administer, maintain, improve, and promote the Site and Barreleye’s related products, services, and features; (ii) create, develop, and enhance new features and functionality; (iii) satisfy applicable legal, regulatory, and accessibility requirements; and (iv) permit lawful indexing, linking, integration, or display of the Site and its related services or features through external platforms.
This license includes the right to grant sublicenses to service providers, other users, or third parties, but only to the extent reasonably necessary to accomplish the purposes described above.
When you submit or provide Content, you represent and warrant that: (i) you own, control, or otherwise possess all rights necessary with respect to that Content and have the authority to grant Barreleye the license described above; (ii) the Content does not and will not violate, misappropriate, or infringe any intellectual property, contractual, privacy, publicity, or other legal or proprietary right of any third party; and (iii) the Content complies, and will continue to comply, with this Agreement and all applicable Content Standards.
You remain solely responsible for all Content that you submit, post, upload, or otherwise contribute through the Site, including its lawfulness, accuracy, reliability, and appropriateness. Barreleye does not assume responsibility or liability to you or any third party for Content submitted by users, including the accuracy or completeness of such Content.
You are also responsible for your communications and interactions with other users of the Site. Barreleye may, but is not required to, review, monitor, participate in, or otherwise become involved in disputes or interactions between users.
Barreleye does not endorse, approve, or assume responsibility for Content uploaded, posted, or otherwise provided by third-party users. To the extent permitted by applicable law, Barreleye and its authorized representatives may, in their discretion, review, screen, monitor, restrict, edit, disable access to, or remove Content that Barreleye reasonably determines violates this Agreement or the Content Standards or is unlawful, harmful, misleading, inaccurate, inappropriate, or otherwise objectionable.
Barreleye is not responsible for any failure or delay in removing any Content. Consequently, you understand that your use of User Engagement Services may result in exposure to content that you find offensive or objectionable. You hereby consent to the removal of any of your inappropriate Content and waive any claim against us arising out of such removal of content.
The User Engagement Services may offer you the ability to participate in a rewards or gamification program. You agree that your participation in any such program is subject to the following terms and conditions:
- Barreleye reserves the right to modify, suspend, or terminate any rewards or such program at any time, without prior notice or liability to you.
- You may earn points, badges, and rewards based on your usage of the User Engagement Services, your Content, and your completion of certain tasks or challenges set by Barreleye.
- The points, badges, and rewards are not redeemable for cash or any other monetary value and are non-transferable.
- Barreleye is not responsible for any technical issues, errors, or delays that may affect your participation in such program or your access to the User Engagement Services.
- You are solely responsible for complying with all applicable laws and regulations as well as any policies of your employer in relation to your participation in such program and your use of the User Engagement Services.
Accuracy of Information
The Site is provided as an informational resource regarding Barreleye and its products and services. Although we endeavor to provide information that is accurate when published, information available through the Site may become outdated or may contain errors, omissions, technical inaccuracies, or typographical mistakes.
Barreleye will use commercially reasonable efforts to maintain accurate and current information on the Site. However, to the extent permitted by applicable law, Barreleye does not warrant or represent that any information or other content available through the Site is complete, accurate, reliable, current, or error-free.
Nothing available on or through the Site is intended to constitute, and should not be interpreted or relied upon as, medical, clinical, legal, investment, financial, or other professional advice. You should obtain advice from an appropriately qualified professional regarding matters requiring professional judgment or expertise.
Your access to and use of the Site and its content is at your own risk. To the fullest extent permitted by applicable law, Barreleye will not be liable for any direct, indirect, incidental, special, consequential, or similar damages arising out of or relating to your access to, reliance on, or use of the Site or any information or content made available through the Site.
Forward-Looking Statements
The Site may contain statements concerning Barreleye’s expectations, beliefs, estimates, assumptions, plans, projections, anticipated developments, or other statements relating to future events or performance (collectively, “Forward-Looking Statements”).
Forward-Looking Statements are inherently subject to risks, uncertainties, assumptions, and other factors, many of which may be outside Barreleye’s control. These factors may cause actual events, circumstances, performance, or results to differ materially from those expressed, anticipated, or implied by such statements. Accordingly, Forward-Looking Statements should not be regarded as guarantees of future performance or results, and you should not place undue reliance on them.
Administrative, Physical, and Technical Safeguards
Barreleye will use commercially reasonable efforts to implement and maintain appropriate administrative, physical, and technical safeguards designed to protect the security, confidentiality, and integrity of information collected or processed through the Site. Such safeguards will be maintained in a manner generally consistent with applicable industry standards for comparable services, applicable law, and Barreleye’s Privacy Policy.
Updates and Changes
Barreleye may revise, supplement, amend, or otherwise modify this Agreement from time to time in its discretion, subject to applicable law. Any revised terms will become effective as specified when the updated Agreement is made available on or through the Site.
If you do not agree with any modification to this Agreement, or if a modification prevents you from complying with its terms, you must discontinue your use of the Site. To the extent permitted by applicable law, your continued access to or use of the Site after the effective date of an updated Agreement constitutes your acceptance of the revised terms. If, at any time, you do not agree to any part of this Agreement, you must stop accessing and using the Site.
Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT, FEATURES, AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. BARRELEYE DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
BARRELEYE DOES NOT WARRANT OR REPRESENT THAT THE SITE OR ANY CONTENT, PRODUCTS, SERVICES, FEATURES, OR INFORMATION MADE AVAILABLE THROUGH THE SITE WILL BE ACCURATE, RELIABLE, COMPLETE, TIMELY, SECURE, SUITABLE, OR AVAILABLE. BARRELEYE ALSO DOES NOT WARRANT THAT ACCESS TO OR OPERATION OF THE SITE WILL BE CONTINUOUS, UNINTERRUPTED, ERROR-FREE, OR FREE FROM DEFECTS.
Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Barreleye, its affiliates, and each of their respective directors, officers, employees, representatives, agents, contractors, vendors, suppliers, and licensors from and against any claims, actions, proceedings, damages, losses, liabilities, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to: (i) your access to or use of the Site; (ii) your breach of this Agreement or failure to comply with any obligation under it; or (iii) your infringement, misappropriation, or violation of any right of a third party.
General Terms
This Agreement, together with any additional terms expressly incorporated into it by reference, constitutes the entire agreement between you and Barreleye concerning your access to and use of the Site and supersedes any prior or contemporaneous understandings or agreements concerning the same subject matter.
If any provision of this Agreement is determined by a court or other authority of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law or, where necessary, severed from this Agreement. The validity and enforceability of the remaining provisions will not be affected.
Barreleye’s failure or delay in exercising or enforcing any right, remedy, or provision under this Agreement will not operate as a waiver of that right, remedy, or provision. Any waiver by Barreleye will be effective only if made in writing by an authorized representative of Barreleye.
